{"id":1462,"date":"2022-06-17T12:29:46","date_gmt":"2022-06-17T15:29:46","guid":{"rendered":"https:\/\/giovannamodena.com.br\/?p=1462"},"modified":"2025-06-13T09:34:53","modified_gmt":"2025-06-13T12:34:53","slug":"introducao-acerca-da-caracterizacao-da-responsabilidade-solidaria-no-direito-do-trabalho","status":"publish","type":"post","link":"https:\/\/giovannamodena.com.br\/?p=1462","title":{"rendered":"Caracteriza\u00e7\u00e3o da Responsabilidade Solid\u00e1ria no Trabalho"},"content":{"rendered":"\n<p>O instituto da responsabilidade, \u00e9 aquele no qual buscamos reparar o dano causado a outrem e assim, restabelecer seu status <em>a quo ante. <\/em>Nas rela\u00e7\u00f5es de trabalho, no entanto, temos duas formas de caracterizar a responsabilidade, chamadas de responsabilidade solid\u00e1ria e responsabilidade subsidi\u00e1ria.<\/p>\n\n\n\n<p>A responsabilidade solid\u00e1ria, prevista no artigo 2, \u00a7 2\u00ba da Consolida\u00e7\u00e3o das Leis do Trabalho, \u00e9 aquele que prev\u00ea a cobran\u00e7a integral das empresas presentes no polo passivo da demanda a partir da configura\u00e7\u00e3o de um grupo econ\u00f4mico entre elas. O grupo econ\u00f4mico pode ser identificado a partir do momento em que h\u00e1 uma aglutina\u00e7\u00e3o de empresas, ainda que com atividades econ\u00f4micas diversas, e personalidade jur\u00eddica pr\u00f3pria.<\/p>\n\n\n\n<p>Com a nova reda\u00e7\u00e3o da Lei 13.467\/2017, o par\u00e1grafo 2\u00ba ampliou o entendimento do instituto de grupo econ\u00f4mico com a distin\u00e7\u00e3o entre grupo econ\u00f4mico vertical e horizontal. O vertical \u00e9 aquele em que h\u00e1 a administra\u00e7\u00e3o, controle ou dire\u00e7\u00e3o de uma empresa sob as demais, enquanto o horizontal se trata de empresas ligadas apenas pelo desenvolvimento de sua atividade econ\u00f4mica, sem que haja qualquer rela\u00e7\u00e3o hier\u00e1rquica entre elas.<\/p>\n\n\n\n<p>&nbsp;A legisla\u00e7\u00e3o tamb\u00e9m nos d\u00e1 tr\u00eas elementos para a caracteriza\u00e7\u00e3o do grupo econ\u00f4mico, s\u00e3o eles: a demonstra\u00e7\u00e3o de interesse integrado, a efetiva comunh\u00e3o de interesses e a atua\u00e7\u00e3o conjunta das empresas nele integrantes, que deixa claro a restri\u00e7\u00e3o de grupo econ\u00f4mico para empresas que al\u00e9m de atuar de forma conjunta, possuem os mesmos interesses.<\/p>\n\n\n\n<p>Apenas \u00e0 t\u00edtulo de exemplo, imaginemos empresa que venda sapatos de fabrica\u00e7\u00e3o pr\u00f3pria, e ent\u00e3o, resolve criar uma segunda empresa que se destina apenas \u00e0 venda de sapatos, enquanto a primeira ser\u00e1 restrita a fabrica\u00e7\u00e3o de sapatos. Observamos que nesse caso as empresas possuem o mesmo interesse em comum, qual seja, venda de sapatos, com diversos empregados voltados para esse mesmo objetivo, no mesmo estabelecimento. Assim, claro est\u00e1 a comunh\u00e3o e integra\u00e7\u00e3o de interesses, al\u00e9m da atua\u00e7\u00e3o conjunta.<\/p>\n\n\n\n<p>E ainda, o texto aprovado pela Reforma Trabalhista com rela\u00e7\u00e3o \u00e0 defini\u00e7\u00e3o de grupo econ\u00f4mico poder\u00e1 resguardar empresas que possuem s\u00f3cios comuns, mas cujas atividades n\u00e3o se relacionam. Desse modo, fundos de investimentos, por exemplo, poder\u00e3o ser beneficiados por essa altera\u00e7\u00e3o, j\u00e1 que, muitas vezes, investem em empresas cujos interesses n\u00e3o se convergem.<\/p>\n\n\n\n<p>Ademais, relevante destacar tamb\u00e9m a responsabilidade individual dos s\u00f3cios, que passou a ser restrita h\u00e1 2 (dois) anos ap\u00f3s sua retirada da sociedade, nos termos do artigo 1.032 do C\u00f3digo Civil, logo, somente as a\u00e7\u00f5es ajuizadas no per\u00edodo de at\u00e9 dois anos ap\u00f3s a retirada do s\u00f3cio da sociedade poder\u00e3o requerer a sua responsabilidade.<\/p>\n\n\n\n<p>A aplica\u00e7\u00e3o do artigo 1.032 do C\u00f3digo Civil j\u00e1 era amplamente requisitada na justi\u00e7a do trabalho, j\u00e1 que n\u00e3o \u00e9 cab\u00edvel a responsabilidade de s\u00f3cio que h\u00e1 muito n\u00e3o possui qualquer rela\u00e7\u00e3o com as atividades da empresa, e com a Reforma, resta claro a inten\u00e7\u00e3o de evitar situa\u00e7\u00f5es como essa.<\/p>\n\n\n\n<p>Certo ainda que, a responsabilidade do s\u00f3cio retirante s\u00f3 poder\u00e1 vir a ocorrer caso as tentativas de execu\u00e7\u00e3o em face da sociedade e de seus atuais s\u00f3cios tenha sido frustrada, caracterizando assim, a ordem de prefer\u00eancia que deve ser respeitada na fase de execu\u00e7\u00e3o.<\/p>\n\n\n\n<p>Por fim, outro ponto que reflete na configura\u00e7\u00e3o da responsabilidade das empresas \u00e9 a determina\u00e7\u00e3o de que uma vez caracterizada a sucess\u00e3o trabalhista, apenas a empresa sucessora responde pelos d\u00e9bitos dessa natureza, nos termos dos artigos 10 e 448 da CLT, sendo que a empresa sucedida somente poder\u00e1 ser acionada em caso de configura\u00e7\u00e3o de fraude na opera\u00e7\u00e3o societ\u00e1ria que culminou na transfer\u00eancia das atividades e contratos de trabalho.<\/p>\n\n\n\n<p>A regra, portanto, \u00e9 clara: haver\u00e1 sucess\u00e3o trabalhista integral e, consequentemente, a responsabiliza\u00e7\u00e3o do sucessor pelos d\u00e9bitos trabalhistas do sucedido sempre que houver mudan\u00e7a da propriedade da empresa ou altera\u00e7\u00e3o significativa na sua estrutura jur\u00eddica.<br><br><\/p>\n","protected":false},"excerpt":{"rendered":"<p>O instituto da responsabilidade, \u00e9 aquele no qual buscamos reparar o dano causado a outrem e assim, restabelecer seu status a quo ante.
